Terms of Service

By creating an account, clicking to accept these Terms, or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you are accepting these Terms on behalf of an organization, you represent that you have the authority to bind that organization, and “you” in these Terms refers to that organization. If you do not agree to these Terms, do not access or use the Service.

SeamMagnet is a lead-generation and sales-pipeline platform for teams. In general terms, the Service lets your organization:

• search for prospective leads by location and search radius across Google Maps and Apollo in a single pass, deduplicated automatically;
• manage those leads in a shared team pipeline, with stages, tags, notes, activity history, bulk actions, and CSV/XLSX import and export;
• enrich leads with additional data — company details, contact information, and LinkedIn data — and connect a LinkedIn account to search, connect, and message from inside the Service;
• run outreach campaigns by connecting a mailbox and building multi-step email, LinkedIn, and task sequences, with reply, open, and click tracking;
• assign work across the team, run reports on pipeline and outreach performance, view leads on a map, and schedule meetings through a connected calendar; and
• connect the Service to other tools through a public API, webhooks, and a browser extension.

We may add, change, or remove features of the Service from time to time. We will use reasonable efforts to communicate material changes to paying customers in advance, but the Service may evolve as described in Section 14 below.

To use the Service, you must create an account for your organization’s workspace. You agree to provide accurate, current, and complete information when creating your account and to keep it up to date. Each workspace is provisioned with a number of role-based seats (for example, Owner, Admin, Manager, and Member), and it is your responsibility to assign seats and roles appropriately and to control who on your team has access.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, whether performed by you or by anyone you grant access to. You must notify us promptly at [email protected] if you become aware of any unauthorized use of your account.

The Service is offered on a self-serve subscription basis, billed and processed through Stripe. When you subscribe, you choose a plan tier that includes a set number of seats and a monthly allowance of credits (credits are consumed by certain actions, such as running a lead search or enrichment). You may:

• add seats beyond the number included in your plan, billed as a per-seat add-on;
• purchase additional one-time credit top-ups when you need more than your monthly allowance; and
• change your plan tier, which takes effect according to the billing terms shown to you in the app at the time of the change.

Subscriptions renew automatically each billing period until cancelled. You authorize us, through Stripe, to charge your payment method for all fees due, including recurring subscription fees, seat add-ons, and any top-ups you purchase. Fees are exclusive of applicable taxes unless stated otherwise. You are responsible for keeping your payment method and billing information current; a failed payment may result in suspension of the Service as described in Section 12.

You may cancel your subscription at any time from within the app. When you cancel, your subscription remains active and you retain access to the Service through the end of the billing period you have already paid for. Cancellation takes effect at the end of that period; we do not provide partial-period or prorated refunds for the time remaining. After your paid period ends, your subscription will not renew and your access will be limited accordingly.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• use the Service for any illegal purpose, or in a way that violates any applicable law or regulation, including anti-spam, telemarketing, and data-protection laws that apply to how you contact leads;
• access or use the Service in a manner that exceeds its intended use — for example, scraping, probing, or attempting to circumvent rate limits, credit allowances, or access controls;
• resell, sublicense, or provide access to the Service to any third party outside your own organization without our written consent;
• use the Service to send unlawful, deceptive, or unsolicited communications, or otherwise misuse the outreach features to violate the rights of the people you contact; or
• interfere with or disrupt the integrity or performance of the Service or the data it contains.

You are solely responsible for the leads, contacts, and messages you upload, generate, or send through the Service, and for ensuring your own compliance with the laws that apply to your outreach, including any applicable anti-spam, telemarketing, and privacy laws in the jurisdictions you contact.

SeamMagnet and SKYFALL Labs LLC own all right, title, and interest in and to the Service, including its software, design, and underlying technology, and all associated intellectual property rights. Except for the limited right to access and use the Service granted under these Terms, we reserve all rights not expressly granted.

As between you and us, you own the data you and your team put into the Service — including your saved leads, notes, tags, campaign content, and templates (“Customer Data”). You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Service on your behalf.

The Service integrates with and relies on a number of third-party providers, including Google Maps, Apollo, Hunter.io, LinkedIn, Stripe, and calendar providers such as Google Calendar and Microsoft Outlook. When you connect or use one of these integrations through the Service, your use of that provider is also subject to that provider’s own terms of service and privacy policy. We are not responsible for the acts, omissions, availability, or policies of these third-party providers.

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any data, including lead data sourced from third parties, will be accurate or complete.

To the maximum extent permitted by law, in no event will SKYFALL Labs LLC be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability arising out of or related to these Terms or the Service will not exceed the amounts you paid to us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless SKYFALL Labs LLC and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your misuse of the Service, your Customer Data, or your violation of these Terms or of applicable law.

You may stop using the Service and cancel your subscription at any time as described in Section 5. We may suspend or terminate your access to the Service, with or without notice, if you violate these Terms, fail to pay fees when due, or if we reasonably believe your use of the Service poses a risk to us, other users, or third parties. Upon termination, your right to use the Service ends immediately; provisions of these Terms that by their nature should survive termination (including Sections 7, 9, 10, 11, and 13) will survive.

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in the State of Wyoming, USA, and you consent to personal jurisdiction there.

We may update these Terms from time to time. When we do, we will post the revised Terms on this page with an updated “Last updated” date above. Your continued access to or use of the Service after a revised version of these Terms is posted means you accept the changes. If you do not agree to the revised Terms, you should stop using the Service.

These Terms, together with our Privacy Policy and any order or plan details presented to you at the point of purchase, constitute the entire agreement between you and SKYFALL Labs LLCregarding the Service, and supersede any prior agreements between you and us regarding the Service. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
